Terms of Use & Sale

These Terms of Use & Sale (“Terms”) govern your use of hsnctech.com (the “Site”), the agency services we provide, and your purchase of products from HSNC Tech LLC(“we,” “us,” “our”), a Connecticut limited liability company. By using the Site, engaging our services, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or our services.

Using the site

You may use the Site for lawful purposes only. You agree not to interfere with its operation, attempt to access areas you are not authorized to reach, scrape it at a scale that burdens our infrastructure, or use it to infringe anyone’s rights. The Site, its content, design, and code are owned by HSNC Tech LLC or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable license to view it; we grant no other rights.

Agency services

We design and build websites, automations, AI tools, integrations, and related digital systems. The specific scope, deliverables, fees, and timeline for any engagement are set out in a separate written proposal or statement of work (“SOW”) that we agree with you. Where an SOW conflicts with these Terms, the SOW controls for that engagement.

Estimates and timelines. Dates and effort estimates are made in good faith and are not guarantees. Delivery depends on your timely feedback, approvals, content, and access to the accounts and systems the work requires.

Your responsibilities. You are responsible for the accuracy of materials you provide, for having the rights to any content, logos, or data you give us, and for maintaining your own accounts with third-party platforms (for example hosting, domain registrars, Google, payment processors, and AI providers).

Third-party platforms. Our work often runs on or connects to services we do not control. Your use of those services is governed by their own terms, and we are not responsible for their availability, pricing, or changes.

Ownership of deliverables. Unless an SOW says otherwise, custom deliverables we create for you become yours once you have paid for them in full. Until then, we retain ownership. We keep ownership of our pre-existing tools, libraries, and know-how, and may reuse general skills and techniques. We may reference the work in our portfolio unless you ask us in writing not to.

No guarantee of results. We build the systems; we cannot promise specific business outcomes. Rankings, search visibility, booking volume, review counts, conversions, and revenue depend on many factors outside our control, and we make no guarantee of any particular result.

Service fees. Fees, deposits, and payment schedules are set in the SOW. Unless stated otherwise, deposits are non-refundable once work begins, and invoices are due on the terms stated. We may pause or stop work on overdue accounts.

AI tools and features

Some of what we build and offer uses artificial intelligence. AI output can be inaccurate, incomplete, or unexpected, and may reflect the limits of the underlying models and data. You are responsible for reviewing AI output before relying on it, and AI output is not legal, financial, medical, or other professional advice. Third-party AI providers (such as Anthropic) are governed by their own terms, and you are responsible for your own accounts, keys, and usage charges with them.

Products and orders

We also sell hardware, including the AI Meter. Product descriptions and images are provided in good faith and may differ slightly from the final unit. The AI Meter is assembled to order. Prices are in U.S. dollars; we may charge applicable sales tax based on your shipping address, and shipping is a flat rate charged at checkout. Payment is processed by Stripe, and by ordering you authorize us to charge your selected payment method for the order total.

Shipping, cancellations & refunds (products)

Shipping timeframe. We assemble and ship orders in under 3 weeks as a good-faith estimate based on current build capacity. If we cannot ship by the stated time, we will email you a revised date and let you keep waiting or cancel for a full refund. If we do not hear back after a significant delay, we will refund you. This follows the U.S. FTC Mail, Internet, or Telephone Order Merchandise Rule.

Canceling before shipment. You may cancel an unshipped order at any time for a full refund to your original payment method. For Custom Edition units, which are built and coded to your specification, you may cancel for a full refund any time before we begin custom design or firmware work; once that work begins, the portion covering work already performed may be non-refundable. Your right to a full refund if we miss the shipping timeframe always applies.

Damaged, defective, or incorrect items. Inspect your unit on arrival. If it arrives damaged, defective, or is not what you ordered, contact us within 14 days of delivery and we will arrange a replacement or refund, including return shipping at our expense. Keep the original packaging where possible.

Returns of working units.Because each unit is configured for a customer, we handle returns of non-defective units case by case; contact us within 14 days of delivery. Return shipping for non-defective returns is the buyer’s responsibility, and Custom Edition units may not be returnable once delivered as specified.

How refunds are issued. Approved refunds go back to your original payment method, typically within 5–10 business days after we process them; your bank or card issuer may take additional time to post the credit. Nothing here limits rights you have under applicable law, including chargeback rights and protections under the FTC Mail Order Rule.

Limited warranty

We warrant that the AI Meter will be free from defects in materials and workmanship under normal use for one (1) year from delivery. If a covered defect appears, we will, at our option, repair or replace the unit or refund its purchase price. This warranty does not cover damage from misuse, accident, unauthorized modification, or normal wear.

Disclaimer of other warranties

Except for the limited warranty above, and to the fullest extent permitted by law, the Site, our services, and our products are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some states do not allow the exclusion of implied warranties, so part of this disclaimer may not apply to you.

Limitation of liability

To the fullest extent permitted by law, our total liability arising from your use of the Site, our services, or your purchase will not exceed the amount you paid to us for the service or product giving rise to the claim, and we will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Some states do not allow these limitations, so they may not apply to you.

Indemnification

You agree to indemnify and hold HSNC Tech LLC harmless from claims, damages, and expenses arising out of content or materials you provide, your use of deliverables after delivery, or your breach of these Terms or of any law.

Relationship to Anthropic

HSNC Tech LLC is an independent company and is not affiliated with, endorsed by, or sponsored by Anthropic, PBC.“Claude” is a trademark of Anthropic, used here only to describe compatibility. The AI Meter displays usage from the Anthropic API key you provide. You are solely responsible for your Anthropic account, your API key, and any usage charges Anthropic bills you.

Acceptable use

You agree to use our Site, services, and products lawfully and not to resell, reverse-engineer for circumvention, or misrepresent them. You are responsible for securing any credentials or API keys you store on a device or provide to us.

Governing law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Connecticut.

Changes

We may update these Terms. The version in effect when you use the Site, agree an SOW, or place an order applies to that use, engagement, or order. We will revise the “Last updated” date above for changes.
